A joint-stock company can be established by one or more individuals or legal entities. It is a type of company with challenging and complex processes in terms of legal procedures during its establishment. It is recommended for medium and large-scale businesses. The differences between a limited company and a joint-stock company during the company establishment process are explained in our article in the Differences section, which will guide you.
A joint-stock company's minimum capital amount must be at least 50,000 TRY. 1/4 (one-fourth) of the capital amount must be blocked in the bank. The blocked amount can be withdrawn once the company opening procedures are completed.
Documents Required to Establish a Joint-Stock Company:
Residence certificate (E-Government for partners)
Identity photocopy (for partners)
Lease Agreement
The determined title of the company
The determined capital amount
Share ratio of the partners
Designated company representative
Blocked letter from the bank for 1/4 capital
The necessary documents for the establishment of a joint-stock company consist of the documents you see above. After preparing the documents, the process of establishing a joint-stock company begins.
Process of Establishing a Joint-Stock Company: After submitting the documents mentioned above to your Financial Advisor, the company's articles of association are prepared with your Financial Advisor. An appointment is made with the Trade Registry to register the company. After the Trade Registry registration, your Financial Advisor registers the tax for the company with the power of attorney obtained for the company.
Closure of a joint-stock company, like its establishment, is subject to the liquidation process. The company cannot be physically closed without going through this process.
If you have decided to engage in trade that does not require a space such as an office or warehouse, or if you earn income over the Internet or especially in the service sector, such as projects, you can also establish your joint-stock company as a home office – virtual office.
